      Terms of Service for xera

      Thank you for using xera by Transifex. These Terms of Service (the “Terms”) govern your access to and use of xera on the Transifex website (“Website”), so please carefully read them before using the Services. If you do not agree with these Terms, do not provide Transifex with any information and do not use the Services.

      Reference to Services in these Terms shall solely mean your use of xera. 

      Subscriber(s) shall mean users of the Services. 

      Subscribers can subscribe to xera at any time via the xera platform available on the Transifex Website by either;

      • a free version; or
      • a paid version.

      Free version and paid version subscription details are available on the xera platform ,via the Transifex website here. Subscriptions to xera can be monthly or annually (“Term”). 

      Word allowances for annual or monthly subscriptions reset every month, based on the start date of Subscribers subscription (“Word Allowance”).  Any upgrade in Subscribers Word Allowance, (meaning an increase to the Subscribers regular monthly Word Allowance, referred to as “Upgraded Word Allowance”), shall be usable from the date of purchase and for the remainder of Subscribers current month or annual subscription. 

      Subscribers signed up to the free version or the paid version can upgrade at any time. If Subscriber is on a free version they may upgrade to a paid version. If the Subscriber is on a paid version they may upgrade or downgrade the Word Allowance and/or pay for Topped Up Words, through the xera platform on the Website. 

      Subscribers can top-up their Word Allowance anytime, as a one off, instant purchase to increase their Word Allowance (“Topped Up Words”) . Topped-Up Words  are allowed only if the Subscriber is on a paid version of the Services. Topped-Up Words are carried over from month to month until exhaustion (or until Subscriber downgrades to the free version). Topped-Up Words are consumed by the Subscriber with priority over their regular monthly Word Allowance. 

      Subscribers who do not fully use their Word Allowance in a given month will lose any unused Word Allowance and therefore shall not roll over into the following month. 

      Subscribers can downgrade their subscription to the Services from a paid version to the free version at anytime and such request will be implemented at the Subscribers next renewal.  On downgrade the Subscribers account will be locked until any extra items (such as projects, languages, users, etc) that exceed the free allowance are deleted by the Subscriber. 

      Subscribers can delete their account at any time but no refund will be payable if the Subscriber is on a paid plan. 

      If a Subscriber remains inactive on xera for over 12 months in the free version the subscription may be deleted by Transifex. 

      Authorisation

      Subscriber hereby certifies that they are at least 18 years of age. If Subscriber is entering into these Terms on behalf of a company or business, they represent they have the authority to bind such an entity, its users, and its affiliates and provide the information contemplated herein. If Subscriber does not have such authority, or if they do not agree with the Terms, Subscriber may not use the Service. 

      In addition, Subscriber agrees that:

      • They will not attempt to use the Services with crawlers, robots, data mining or extraction tools or any other functionality;
      • Their use of the Services will, at all times, comply with these Terms; and 
      • They have the right to provide any and all information submitted to the Services, and the information and all such information is accurate, true, current and complete.

      Subscriber will update and correct the information submitted to the Services and ensure that it is accurate at all times (out-of-date information will invalidate Subscriber’s account).

      If Subscriber is entering into these Terms on behalf of a company or business, they represent they have the authority to bind such an entity, its users, and its affiliates. If Subscriber does not have such authority, or if they do not agree with the Terms, Subscriber may not use the Service. 

      By using the Services, Subscriber expressly acknowledges that these Terms are a contract between Subscriber and Transifex and they solely govern the use of the Services. 

      General Terms

      When Subscriber registers on the Website, they will be asked to create their own profile. Subscriber’s profile includes, but is not limited to, personal information such as name, email and general information about the Subscriber. Upon successful registration, Subscriber shall become a member of the Website (“Authorized User Account”), and agree to comply with these Terms. In the event Subscriber only visits the Website, Subscriber shall still be obliged to comply with these Terms.

      Subscriber may only register for one Authorized User Account. In consideration of access to, and use of, the features and functions of the Services, Subscriber will (a) provide accurate, current and complete information as may be prompted by any registration forms in the Services (“Registration Data”); (b) maintain the security of user identification (collectively, “Login Information”); (c) maintain and promptly update the Registration Data, and any other information provided to Transifex through the Services; (d) promptly advise Transifex whenever there is a change to contact information or any other information in Authorized User’s Account; (e) receive communications from Transifex electronically; and (f) be fully responsible for all use of your Authorized User Account and for any actions that take place using such account and any applicable Login Information. 

      Subscriber represents and agrees that all information provided to Transifex in connection with access to and use of the Services is, and shall be, true, accurate and complete to the best of Subscribers knowledge, ability and belief. Transifex reserves the right to terminate these Terms, or to refuse, restrict, or discontinue access to the Services (or any portions, components, modules, or features of the Services) for any reason, or for no reason whatsoever, at any time, without notice or liability.

      Subscriber may use the Services only in compliance with these Terms. The Services may continue to change over time as Transifex refine and add more features. Transifex may stop, suspend, or modify the Services at any time without prior notice to Subscribers. Transifex may also remove any content from our Services at Transifex’s sole discretion.

      Your Words & Your Privacy

      By using the Services, Subscriber provides the information, files, and folders that are submitted and used in relation to the Services (together, Subscriber’s “Content”). Subscriber retains full ownership of their Content, and Transifex has no ownership rights in such Content, including the translated content generated by the Services. These Terms do not grant Transifex any rights to Subscriber’s Content or intellectual property except for the limited rights that are needed for Transifex to run the Services, as explained below.

      Transifex may need Subscriber’s permission to do things Subscriber asks Transifex to do in relation to the Subscriber’s words (for example, hosting their files, or sharing them at Subscribers direction). This includes product features visible to Subscriber, for example, image thumbnails or document previews. It also includes design choices Transifex makes to technically administer the Services, for example, how Transifex redundantly backup data to keep it safe. Subscriber gives Transifex the permissions needed to do those things solely to provide the Services and/or improve the Services. This permission also extends to trusted third parties Transifex work with to provide the Services, for example, AWS, which provides storage space (again, only to provide the Services).

      To be clear, aside from the rare exceptions Transifex identifies in its Privacy Policy, no matter how the Services change, Transifex will not share Subscriber Content with others for any purpose unless Subscriber requests Transifex to do so. How Transifex collects and uses Subscriber information is also explained in our Privacy Policy.

      Subscriber is solely responsible for their conduct, the content of their words and files, and their communications with others while using the Services. For example, it is the Subscribers responsibility to ensure that they have the rights or permission needed to comply with these Terms.  Subscriber grants Transifex a non-exclusive, world-wide, perpetual, royalty-free, irrevocable, sublicensable and transferable license to use Subscriber’s words for purposes of performing the Services. Subscriber agrees to indemnify Transifex for any third party claims, demands or losses arising as a result of Subscribers failure to obtain all such necessary rights, permissions and authorizations.

      Transifex may choose to review public content incompliance with Transifex’s community guidelines, Subscriber acknowledges that Transifex has no obligation to monitor any information on the Services. Transifex are not responsible for the accuracy, completeness, appropriateness, or legality of files, user posts, or any other information Subscriber may be able to access using the Services.

      Delivery of Services

      Any dates provided for delivery of the translated content or for performing the Services are approximate only. Unless otherwise expressly agreed by Transifex, time is not of the essence for delivery or performance, and no delay shall entitle Subscriber to reject any delivery or performance or to repudiate these Terms. Transifex will not be liable in any circumstances for the consequences of any delay in delivery or performance or failure to deliver or perform.

      Posting or delivery to a carrier (including post, facsimile, e-mail) for the purpose of transmission to Subscriber shall, for the purposes of these Terms, constitute delivery to Subscriber. Risk in the translated content shall pass to Subscriber on delivery. Transifex may deliver by installments in such quantities as it may reasonably decide; such installments shall be separate obligations and no breach in respect of one or more of them shall entitle Subscribers to cancel any other installments or repudiate these Terms as a whole.

      Third-Party Services

      The Services may include links to other third-party applications, websites, products and services, including but not limited to, Google, Amazon Translate, DeepL, Microsoft Translator, and OpenAI, that could be accessed through and integrated with the Services (the “Third-Party Services”) solely as a convenience to the Subscriber and do not imply endorsement of, or association with, the party by Transifex. Transifex has accounts with each of the Third-Party Services such that if Subscriber elects to access and use these Third-Party Services, Subscriber will be doing so under the Transifex account. 

      When Subscriber uses the Third-Party Services, Subscriber does so at your own risk. Transifex strongly encourages Subscriber to read the terms and conditions and privacy policy of each third-party website or Third-Party Service (“Third-Party Terms”) that Subscriber visits or from which Subscriber accesses any product or service. Transifex has no control over, and assumes no responsibility for, the content, accuracy, Third-Party Terms, or practices of any Third-Party Service.

      In addition, Transifex will not and cannot monitor, verify, censor, or edit the content of any Third-Party Service. When Subscriber visits or uses a Third-Party Service, Subscriber acknowledges that such Third-Party Service is subject to the applicable Third-Party Terms, and Subscriber releases Transifex from any liability directly arising from Subscribers use of such a Third-Party Service. Subscriber acknowledges that Transifex is not responsible for such third parties or their products or services. Any such activities, and any Third-Party Terms associated with such activities, are solely between Subscriber and the applicable third party.

      Your Responsibilities

      Files and other content in the Services may be protected by intellectual property rights of others. Please do not copy, upload, download, or share files unless you have the right to do so. Subscriber, not Transifex, will be fully responsible and liable for what Subscriber copies, shares, uploads, downloads, or otherwise uses while using the Services. Subscriber must not upload spyware or any other malicious software to the Service.

      Subscriber, and not Transifex, are responsible for maintaining and protecting all of Subscribers words. Transifex will not be liable for any loss or corruption of Subscribers words, or for any costs or expenses associated with backing up or restoring any of Subscribers words.

      Limitations on Third Party Use

      Only Subscribers are permitted to access or use the Services. Subscribers shall not license, sublicense, sell, resell, market, lease, loan, rent, transfer, assign, distribute, disclose, or make accessible to any third party, the Services, or otherwise commercially exploit the Services or grant any right to access or use the Services to any third party.

      Limitations on Reverse Engineering and Modification

      Subscriber shall not: (a) modify or improve the Services or make derivative works based upon the Services; (b) decompile, disassemble, or reverse engineer any object code that is part of the Services or attempt to reverse engineer, reconstruct, identify, or discover any source code of any such software, the structure, sequence, or organization of such source code or any algorithms, methods, or models contained therein; (c) frame or mirror any content on any other server or wireless or internet-based device; (d) enter into time-sharing or data processing service arrangements involving use of Services with any third party; (e) remove any product identification, trademark, copyright, patent, or other notices or markings contained in, displayed by, or provided with the Services; or (f) access or use the Services in order to build any software, product, or service that is competitive or similar to the Services or any portion thereof.

      Limitations on Use

      Subscriber shall not: (a) submit any material containing software viruses, worms, Trojan horses, or other harmful computer code, files, scripts, agents, or programs; (b) interfere with, impede, or disrupt the integrity or performance of the Services or the data contained therein or part thereof; (c) attempt to gain unauthorized access to the Services or its related systems or networks; (d) access, use, or copy any portion of the Services, through the use of bots, spiders, web crawlers, indexing agents, or other automated devices or mechanisms; (e) create any denial of service with respect to the Services; (f) falsify the origin of Subscribers communications, or attempt to do any of the foregoing; or (g) use the Services for any illegal or injurious purpose.

      Internal Monitoring

      Please be advised that Transifex may monitor Subscribers use of and access to the Services to ensure compliance with these Terms and any other applicable rules, policies, deadlines and instructions. By using the Services, Subscriber expressly consents to such monitoring. If such monitoring reveals possible unauthorized use of the Services, Transifex may, among other things, suspend or terminate Subscribers access to the Services.

      Account Security

      Subscriber is responsible for safeguarding access to the xera Services. Subscriber is responsible for any activity using their account, whether or not Subscriber authorizes that activity. Subscriber should immediately notify Transifex of any unauthorized use of Subscribers account. Subscriber acknowledges that if they wish to protect their transmission of words or files to Transifex, it is Subscribers responsibility to use a secure encrypted connection to communicate with the Services.

      Transifex Property and Feedback

      These Terms do not grant Subscriber any right, title, or interest in the Services, the software used to provide the Services, or the content in the Services. Transifex may use any feedback, comments, or suggestions Subscriber sends us or posts in our forums without any obligation to Subscriber. The software and other technology Transifex use to provide the Services are protected by copyright, trademark, and other laws of both the United States and foreign countries. These Terms do not grant Subscriber any rights to use the Transifex trademarks, logos, domain names, or other brand features.

      Acceptable Use Policy

      Subscriber shall not, and will not attempt to, misuse the Services, and will use the Services only in a manner consistent with the Transifex Accepted Use Policy.

       

      Copyright

      Transifex may, but have no obligation to, remove Subscribers words or close an account containing Subscribers words that Transifex determine at their sole discretion are unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or violates any party’s intellectual property or these Terms. However, Transifex will respond to notices of alleged copyright infringement if they comply with the law and are properly provided to Transifex. Such notices should be reported using our DMCA Policy on Transifex’s website. Transifex reserves the right to delete or disable content alleged to be infringing and to terminate repeat infringers.

      Other Content

      The Services may contain links to third-party websites or resources. Transifex does not endorse and is not responsible or liable for their availability, accuracy, the related content, products, or services. Subscribers are solely responsible for their use of any such websites or resources. Also, if Transifex Subscriber uses the Services with any software under an open-source license, there may be provisions in those licenses that expressly conflict with these Terms, in which case the open source provisions will apply.

      Marketing Activities and Use of Trademark

      Subscriber hereby grants Transifex the right to use, reproduce, publish, perform and display, at its sole discretion, Subscriber’s trademarks, service marks, trade name, and/or logo (“Your Marks”) on the Website and in Transifex’s printed marketing materials, solely in connection with the Services. Subscriber shall  retain all titles in and to Your Marks. At any time, Subscriber may request in writing (at legal@xtm-intl.com) that Transifex cease to display Your Marks and Transifex will subsequently remove Your Marks from the Website and cease to use Your Marks in any future printed marketing materials.

      Fees

      Subscription Fees. The Subscription fee will remain fixed during the Term of Subscribers subscription unless Subscriber (i) upgrades products or base packages, (ii) subscribes to additional features or products of Transifex, or (iv) increases the Word Allowance or languages. Transifex may also choose to decrease your fees upon written notice to you.

      Fee Adjustments at Renewal. Upon renewal, Transifex may increase fees up to Transifex’s then-current list price. 

      Payment by credit card. If Subscriber is paying by credit card, Subscriber authorizes Transifex to charge Subscriber’s credit card or bank account for all fees payable during the Term. Subscriber further authorizes Transifex  to use a third party to process payments, and consents to the disclosure of Subscriber’s payment information to such third party.

      Changes may be made on the Subscribers billing page within the Authorized User’s Account.

      Payment Information. Subscriber will keep contact information, billing information and credit card information (where applicable) up to date. Changes may be made on the Subscribers billing page within Authorized User’s Account. All payment obligations are non-cancellable and all amounts paid are non-refundable, except as specifically provided for in these Terms. All fees are due and payable in advance throughout the Term.

      Sales Tax. All fees are exclusive of taxes, which Transifex shall charge as applicable. Subscriber agrees to pay any taxes applicable to the use of the Services and performance of the Services.         

      Term and Termination

      Term. Subscriber's initial subscription period will either be annually or monthly, and will automatically renew for a further subscription period (“Subscription Term”).

      Notice of Non-Renewal. Unless otherwise specified in Subscriber’s Order Form, to prevent renewal of Subscriber’s subscription, Subscriber must give written notice of non-renewal. The deadline for sending this notice is 30 days prior to Subscribers term expiring. Transifex may also choose to not renew said subscription with a written notice of non-renewal to Subscriber.

      Termination of Services and Content Hosting.  Services are offered on a subscription basis, and access to Transifex’s Services, including content hosting, is strictly contingent upon the timely payment of the applicable fees. If Subscribers subscription is cancelled, lapses, or remains unpaid, Transifex are under no obligation to continue hosting Subscribers content or providing access to the Services. Upon termination of a Subscription Term, the contractual relationship between Subscriber and Transifex ceases, and access to the platform and all the Services will be revoked.

      As a courtesy, Transifex may, at its sole discretion, retain Subscribers content following the termination of Subscribers subscription to allow for potential billing errors or if Subscriber chooses to renew. However, this courtesy does not extend or imply any obligation to continue hosting Subscriber’s Content. If Transifex retains Subscriber’s Content, and the Subscription Term has not been extended, Transifex reserves the right to promptly and permanently delete Subscribers Content without any further notice to Subscriber.

      Early Cancellation. Subscriber may choose to cancel their subscription early at their convenience provided that Transifex will not provide any refunds of prepaid fees or unused fees, and Subscriber will promptly pay all unpaid fees due through the end of the Subscription Term.

      Termination for Cause. Either party may terminate these Terms for cause, as to any or all Services: (i) upon thirty (30) days’ notice to the other party of a material breach if such breach remains uncured at the expiration of such period, or (ii) immediately, if the other party becomes the subject of a petition of bankruptcy or any other proceeding relating to insolvency, cessation of business, liquidation or assignment for the benefit of creditors.

      Transifex may also terminate this Agreement for cause on thirty (30) days’ notice if Transifex determines that Subscriber is acting, or have acted, in a way that has or may negatively reflect on or affect Transifex, its prospects, or its customers.

      These Terms may not otherwise be terminated prior to the end of the Subscription Term.

      Transifex Website and the Services are available “AS-IS”. 

      TO THE FULLEST EXTENT PERMITTED BY LAW THE SERVICES ARE PROVIDED “AS IS”, AT SUBSCRIBERS OWN RISK, WITHOUT EXPRESS OR IMPLIED WARRANTY OR CONDITION OF ANY KIND. TRANSIFEX ALSO DISCLAIM ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. Transifex will have no responsibility for any harm to Subscribers computer systems, loss or corruption of data, or other harm that results from Subscribers access to or use of the Services.      

      In particular, if Subscriber uses the Services, Subscriber will, as a courtesy, receive a score as to the quality of the translation.  Please note that regardless of the score, Transifex does not guarantee the accuracy of the translation and Subscriber agrees Transifex has no liability with respect to any acts or decisions Subscriber takes based on the translation provided. 

      The Services are subject to the use of external LLM’s and as such any service level agreement referred to does not apply to these Services.

      Limitation of Liability

      TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL TRANSIFEX, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS OR LICENSORS BE LIABLE FOR (A) ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, EXEMPLARY OR CONSEQUENTIAL (INCLUDING LOSS OF USE, DATA, BUSINESS, OR PROFITS) DAMAGES, REGARDLESS OF LEGAL THEORY, WHETHER OR NOT TRANSIFEX HAS BEEN WARNED OF THE POSSIBILITY OF SUCH DAMAGES, AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE; (B) ANY AMOUNT IN EXCESS OF THE FEES PAID BY SUBSCRIBER TO TRANSIFEX IN THE THREE (3) MONTH PERIOD PRIOR TO THE CLAIM ARISING.      

      Modifications

      Transifex may revise these Terms from time to time and the most current version will always be posted on Transifex’s Website. If a revision, in Transfiex’s sole discretion, is deemed material Transifex will notify you (for example via email to the email address associated with Authorized Users Account). Other changes may be posted to Transifex’s blog or terms page, Subscriber is encouraged to check those pages regularly. By continuing to access or use the Services after revisions become effective, Subscriber agrees to be bound by the revised terms. If Subscriber does not agree to the new terms, please immediately stop using the Services.

      Miscellaneous Legal Terms

      THESE TERMS AND THE USE OF THE SERVICES AND SOFTWARE WILL BE GOVERNED BY THE LAWS OF DELAWARE. 

      These Terms constitute the entire and exclusive agreement between Subscriber and Transifex with respect to the Services, and supersede and replace any other agreements, terms and conditions applicable to the Services. These Terms create no third-party beneficiary rights. Transifex’s failure to enforce a provision is not a waiver of its right to do so later. If a provision is found unenforceable the remaining provisions of these Terms will remain in full effect and an enforceable term will be substituted reflecting our intent as closely as possible. Subscriber may not assign any of its rights in these Terms, and any such attempt is void, but Transifex may assign its rights to any of its affiliates or subsidiaries, or to any successor in interest of any business associated with the Services. Transifex and Subscriber are not legal partners or agents; instead, our relationship is that of independent contractors.

      Dispute Resolution

      A printed version of these Terms and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to these Terms to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. Subscriber and Transifex agree that any cause of action arising out of or related to the Services must commence within one (1) year after the cause of action arose; otherwise, such cause of action is permanently barred.

      The parties shall use their reasonable endeavours to resolve any dispute arising out of or in connection with the Terms. If the parties’ respective contract managers are unable to resolve any such dispute within seven (7) days of the matter arising, the matter shall be referred to the Chief Executives who shall use their reasonable endeavours to resolve the dispute within seven (7) days of the referral.

      If the dispute has not been resolved within seven (7) days of the first meeting of the Chief Executives (or equivalent), then the matter may be referred to arbitration in accordance with the Delaware Rapid Arbitration Act (DRAA). If any part of this provision is ruled to be unenforceable, then the balance of this provision shall remain in full effect and construed and enforced as if the portion ruled unenforceable were not contained herein.

      Additional Disclosures

      No waiver by either Subscriber or Transifex of any breach or default or failure to exercise any right allowed under these Terms is a waiver of any preceding or subsequent breach or default or a waiver or forfeiture of any similar or future rights under these Terms. The section headings used herein are for convenience only and shall be of no legal force or effect. If a court of competent jurisdiction holds any provision of these Terms invalid, such invalidity shall not affect the enforceability of any other provisions contained in these Terms, and the remaining portions of these Terms shall continue in full force and effect.

      Subscriber are contracting with Transifex Opco LLC. Correspondence should be directed to Transifex, 440 N Barranca Ave #1590, Covina, CA 91723.

      The provisions of these Terms apply equally to and are for the benefit of Transifex, its subsidiaries, affiliates and licensors, and each shall have the right to assert and enforce such provisions directly.
